Welcome to the Booki11 Partners Affiliate Program (the "Program"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Partner," "Affiliate," or "you") and Booki11 Partners ("we," "us," or "Company") regarding your participation in our affiliate program.

By registering for, accessing, or using the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not participate in the Program.

To participate in the Program, you must meet the following requirements:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Own or operate a legitimate website, app, or social media presence
• Comply with all applicable laws and regulations in your jurisdiction
• Not be located in any restricted or prohibited territory
• Provide accurate and complete registration information

We reserve the right to reject any application or terminate any partnership at our sole discretion if we determine that you do not meet these requirements.

As a Partner in our Program, you agree to:

• Promote Booki11 services in a professional, ethical, and legal manner
• Use only approved marketing materials and tracking links provided by us
• Accurately represent our services without false or misleading claims
• Comply with all applicable advertising and marketing laws
• Not engage in spam, fraud, or deceptive marketing practices
• Not bid on our trademarked terms in paid search campaigns
• Not engage in cookie stuffing or other fraudulent tracking methods
• Not promote to minors or in jurisdictions where online betting is illegal
• Maintain the confidentiality of your account credentials
• Promptly notify us of any unauthorized use of your account

4.1 Commission Rates

Partners earn commissions based on the revenue generated by referred customers. Commission rates are tiered and may vary based on performance, volume, and other factors as determined by us.

4.2 Payment Terms

• Commissions are calculated monthly and paid within 15 business days of month-end
• Minimum payout threshold is $100 USD or equivalent
• Payment methods include bank transfer, e-wallets, and other approved methods
• All payment processing fees are the responsibility of the Partner
• Commissions from fraudulent or reversed transactions will be deducted

4.3 Commission Adjustments

We reserve the right to adjust, withhold, or reclaim commissions in cases of fraud, policy violations, chargebacks, or if referred customers are found to be in violation of our terms.

We provide Partners with access to a real-time tracking and reporting dashboard. While we strive for accuracy, we do not guarantee the absolute accuracy of tracking data. In case of discrepancies, our internal tracking system will be considered the authoritative source.

Partners must use only the tracking links provided by us. Any attempts to manipulate or circumvent our tracking system will result in immediate termination and forfeiture of commissions.

All trademarks, logos, brand names, and promotional materials provided by us remain our exclusive property. By participating in the Program, you are granted a limited, non-exclusive, revocable license to use these materials solely for the purpose of promoting Booki11 services.

You may not modify, reproduce, or create derivative works from our intellectual property without prior written consent. This license terminates immediately upon termination of your partnership.

Partners are strictly prohibited from:

• Engaging in any form of fraudulent or deceptive practices
• Generating fake leads or incentivizing fraudulent sign-ups
• Using automated systems or bots to generate traffic or conversions
• Promoting to self-excluded or underage individuals
• Making false claims about winning odds, guarantees, or results
• Engaging in negative SEO or defaming competitors
• Violating any applicable gambling, advertising, or marketing laws
• Promoting in jurisdictions where our services are restricted
• Using our brand in domain names without authorization

Violation of these prohibitions will result in immediate termination and potential legal action.

8.1 Term

This agreement begins upon your acceptance and continues until terminated by either party.

8.2 Termination by Partner

You may terminate this agreement at any time by providing 30 days written notice. You will be entitled to commissions earned up to the termination date, subject to the minimum payout threshold.

8.3 Termination by Company

We may terminate this agreement immediately without notice if you violate these Terms or for any reason at our sole discretion. Upon termination, you must immediately cease all promotional activities and remove all of our marketing materials.

8.4 Effect of Termination

Upon termination, you will forfeit any unpaid commissions below the minimum threshold. We reserve the right to withhold final payment for 90 days to account for any potential reversals or adjustments.

To the maximum extent permitted by law, Booki11 Partners shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the Program, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for all claims arising from this agreement shall not exceed the total commissions paid to you in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Booki11 Partners and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your promotional activities, or your violation of any laws or third-party rights.

You agree to maintain the confidentiality of any proprietary or confidential information disclosed to you in connection with the Program, including but not limited to commission structures, business strategies, and customer data. This obligation survives termination of this agreement.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through your Partner dashboard. Your continued participation in the Program after such notification constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of [Arbitration Body].

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Booki11 Partners regarding the Program and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Relationship

You are an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Booki11 Partners.
